Ticketing Terms of Service

1. General Provisions

These Terms and Conditions ("Terms") govern all tickets to the Token Institute 2026 Film Festival (the "Event"). By purchasing a ticket or attending the Event, you agree to comply with these Terms and venue rules. Token Institute (“Token”) reserves the right to modify these Terms at any time without notice. Films are not rated; viewer discretion is advised.

2. Tickets and Admission

A valid ticket is required for admission. Each ticket is valid only for the specific date(s) and session(s) indicated. All ticket sales are final and non-refundable. Tickets are non-transferable and may not be resold or used for commercial purposes without Token’s prior written consent. Token reserves the right to refuse admission or remove any person from the Event venue for disorderly conduct, violation of these Terms, or failure to comply with venue rules. Late arrivals will be admitted only at the discretion of management and during appropriate breaks. You must be at least 18 years of age to purchase a ticket. Children under 12 must be accompanied by an adult. You acknowledge that the films may contain objectionable content, flashing lights, strobe effects, or other visual stimuli that may affect photosensitive individuals or cause discomfort to some viewers.

3. Event Changes and Cancellation

Token reserves the right to change the Event schedule, venue, presenters, and content without notice. Token is not responsible for additional costs incurred due to Event cancellation or changes, including travel expenses or accommodations. In the event of force majeure, Token may modify, postpone, or cancel the Event without liability.

4. Recording, Photography, and Intellectual Property

You grant Token and its licensees the right to photograph, film and record you and your voice, and to use your name, voice, likeness and image without compensation, in connection with the Event and for publication, reproduction, sale, license, distribution, broadcast and other use in all media now known or hereafter devised, in perpetuity. Unauthorized photography, video, or audio recording is prohibited. All intellectual property rights in the Event content remain the property of Token or the respective creators/rightsholders.

5. Prohibited Conduct

Prohibited conduct includes: Disruptive behavior, harassment of staff, presenters, or other attendees, discriminatory language or behavior, recording, photographing, or transmission of any content without authorization, bringing weapons, dangerous items, or unauthorized technical equipment. Any behavior the organizers in their sole discretion deem inappropriate or disruptive.

6. Release, Indemnification, and Limitation of Liability

Attendance at the Event is at your own risk. You assume all risks and dangers arising from the Event. You release Token and its affiliates, employees, representatives, agents, successors, and assigns from any claims, losses, damages, or injury that you may sustain at the Event. You agree to indemnify and hold Token harmless for any claims relating to or arising from your violation of these Terms or applicable laws. Token is not responsible for the conduct, behavior, or actions of other attendees, and you waive any claims against Token arising from the conduct of other attendees. To the fullest extent permitted by applicable laws, you expressly waive all rights to seek any indirect, incidental, consequential, special, exemplary, punitive or other damages under any theory of liability, arising out of or relating in any way to the terms and/or the event (even if you have been advised of the possibility of such loss or damages, or such loss or damages were reasonably foreseeable). Token’s aggregate liability under this agreement shall not exceed the face value of your ticket.

7. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Event shall be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the jurisdiction of such courts.

8. Venue Protection and Hold Harmless

The Event is hosted at a venue that is owned and/or operated by a third party (the “Venue”). By purchasing a ticket or attending the Event, you agree that the Venue, its owners, operators, employees, contractors, agents, and representatives shall be considered third-party beneficiaries of these Terms where applicable. You agree to release, indemnify, defend, and hold harmless the Venue and its owners, operators, employees, contractors, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your attendance at or participation in the Event; (b) your violation of these Terms, venue policies, or applicable laws; or (c) any damage to property or injury to persons caused by your acts or omissions while at the Event or on the Venue premises. Nothing in these Terms shall be interpreted as creating any liability on the part of the Venue for the organization, programming, or operation of the Event, which remains the sole responsibility of Token Institute.
